In formation

BNI's governance documents are being drafted as part of the 501(c)(3) formation process. This page will be updated when bylaws are finalized.

Board structure (planned)

• President / Executive Director — Kevin Crump
• Secretary / Technical Director — Corey Zinn
• Treasurer or At-Large — [seeking third independent member]

IRS Form 1023 requires a minimum of three board members. Board members serve staggered two-year terms.

Decision-making

• Routine technical decisions: individual developer judgment
• Architecture or stack changes: team agreement (PR to CLAUDE.md or vault doc)
• Financial commitments > $500: board vote
• Changes to mission or bylaws: board vote with 30 days notice

Conflict of interest policy

All board members and staff will sign a conflict-of-interest policy at time of joining. Template to be added here once drafted.
